- Yes — most often by being already in place. Diligence reads better when there is a multi-month written record of maintenance than when there is a panicked audit two weeks before the term sheet. Sign now, not when the SPA is on the table.
- Our CTO doesn't want a third party in the codebase. Is that a deal-breaker?
- Sometimes. If the CTO is the only person who can answer a maintenance question, that is itself the risk. Often the right move is to have the CTO sign off on the engagement so it strengthens their position, not weakens it.
